Terms of Service

1. Agreement to these terms
These Terms of Service ("Terms") govern access to and use of LicenseDesk (the "Service"), a cloud-based software licence and contract management platform operated by Siphamandla Blowu trading as LicenseDesk ("LicenseDesk", "we", "us"). By creating an account or using the Service, you ("Customer", "you") agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.
2. The Service
LicenseDesk lets organisations track software licences, contracts and subscriptions, set expiry reminders, manage attachments, and export records. We may add, change or remove features from time to time; we'll make reasonable efforts to give notice of changes that materially reduce functionality you rely on.
3. Accounts & trial
You must provide accurate registration information and keep your login credentials confidential. Every new organisation receives a 14-day free trial with full Business-tier access and no credit card required. At the end of the trial, continued access requires an active paid subscription (see Section 4). We retain your data for at least 30 days after trial expiry or subscription cancellation in case you decide to reactivate, after which it may be deleted.
4. Plans, billing & cancellation
Paid plans (currently Starter and Business) are billed monthly in advance in South African Rand via our payment processor, Stripe. By subscribing you authorise us (via Stripe) to charge your chosen payment method each billing period until you cancel. You can cancel at any time from the Billing page or by emailing billing@licensedesk.co.za; cancellation takes effect at the end of the current billing period and we do not provide pro-rata refunds for partial periods except where required by law. We may change plan pricing with at least 30 days' notice to active subscribers; continued use after a price change takes effect constitutes acceptance of the new price.
5. Your data
You retain all rights to the licence, contract and other business data you submit to the Service ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Service. You are responsible for the accuracy of Customer Data and for having the right to submit it. See our Privacy Policy for how we handle personal information.
6. Acceptable use
You agree not to use the Service to store or transmit unlawful content, attempt to gain unauthorised access to other tenants' data, reverse-engineer the Service, or interfere with its normal operation. We may suspend accounts that violate this section after reasonable notice, except where immediate suspension is necessary to protect the Service or other customers.
7. Intellectual property
LicenseDesk and its underlying software, design and branding are owned by Siphamandla Blowu / LicenseDesk and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the Service to you; you receive only the right to use it as described here.
8. Availability & disclaimer
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law.
9. Limitation of liability
To the fullest extent permitted by law, LicenseDesk's total liability arising out of or relating to the Service is limited to the amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental or consequential damages, including loss of profits or data, except where such exclusion is not permitted by law.
10. Termination
Either party may terminate these Terms if the other materially breaches them and fails to remedy the breach within a reasonable period after notice. On termination, your right to access the Service ends, subject to the data-retention period in Section 3.
11. Changes to these Terms
We may update these Terms from time to time. We'll post the updated version here with a new "Last updated" date and, for material changes, make reasonable efforts to notify active customers by email.
12. Governing law
These Terms are governed by the laws of the Republic of South Africa, and disputes are subject to the non-exclusive jurisdiction of the South African courts.
